Eli Underwood focuses his practice on corporate transactions and business law.

He frequently advises start-up businesses on entity selection, formation, ownership structuring, and general tax and business considerations. In addition, Eli dedicates a portion of his practice to transactions involving the purchase and sale of assets and businesses, as well as joint ventures.

Eli has particular experience in drafting and negotiating commercial contracts, including equipment and machinery purchases, installation agreements, EPC contracts, supply agreements, inventory agreements, terms and conditions, and all varieties of vendor contracts.

He further assists entities of all sizes in drafting, reviewing, and updating internal documents including operating agreements, shareholder agreements, bylaws, resolutions, and other intercompany documents. He also routinely advises clients on best practices, and compliance matters, including the Corporate Transparency Act.

Eli began his professional career as a CPA. He spent four years in PwC’s assurance practice before attending law school. At PwC he gained valuable experience in corporate accounting and management consulting.

After law school, and prior to starting with Parker Poe, he practiced for several years as a tax and business associate for a large Kansas-based corporate law firm.

Eli received his J.D. from the Washburn University School of Law and his LL.M. in Taxation from the University of Florida Levin College of Law. He holds a bachelor’s degree in accounting from the University of Kansas.

In his free time, Eli enjoys spending time with his wife and daughter, following college football and basketball, and working out.

Representative Experience

Business Formation, Operation, Contracts, and Agreements

  • Served as outside corporate counsel to various private companies, advising officers and managers on matters related to operations, corporate record keeping, and best practices.
  • Represented entrepreneurs in entity selection, formation, start-up, and dissolution, including drafting operating agreements of varying complexity.
  • Represented clients in the drafting and/or reviewing of service contracts, supply agreements, distribution agreements, intercompany agreements, inventory and consignment agreements, terms and conditions, and SaaS agreements.
  • Represented manufacturing companies in drafting engineering, procurement, and construction (EPC) contracts for industrial equipment purchases and installation projects.

Mergers, Acquisitions & Joint Ventures

  • Performed diligence, drafted ancillary documents, and provided general support on large transactions involving clients in the healthcare, transportation, furniture, manufacturing, transportation construction, and hospitality industries.
  • Represented the buyer of a chicken fast food franchise.
  • Represented the seller of multiple UPS franchises.
  • Represented the seller of a CrossFit gym franchise.
